SC-SUG Bylaws

 

The South Carolina SAS Users Group (SC-SUG) is a local SAS users group. The membership consists of individual SAS users in the state of South Carolina. SC-SUG is an all-volunteer organization that is independent from SAS Institute, Inc.

GOAL

The goal of SC-SUG is to provide an opportunity for SAS software users to exchange ideas and explore various ways of using SAS Software. To meet this goal, the specific aims of SC-SUG are to:

  1. Organize and manage quarterly meetings for the SC-SUG membership.

  2. Publishing a newsletter, supplementing the quarterly meetings with opportunities for additional SAS training, lobbying SAS Institute on behalf of users.

LEGAL STATUS

SC-SUG is a not-for-profit corporation based in the state of South Carolina. Its official name is South Carolina SAS Users Group, Inc. Its official address is: 1919 Blanding Street, Columbia, SC 29201.

FISCAL YEAR

SC-SUG operates on a fiscal year that runs from January 1 to December 31 of each year.

BOARD

SC-SUG is governed by a Board of four members: President, Secretary (President-Elect), Treasurer and Member.

The Board meets informally, generally via a conference call or online discussion.

In order to decide matters which require a vote of the Board, a quorum must be present at the meeting. A quorum is defined as 75% (3) of the Board members. Once a quorum is present, votes are carried by a majority of the quorum unless specifically stated otherwise in this document.

The Secretary, the Treasurer and the Member of the Board are elected at the spring’s quarterly meeting of the members, every year. The current year's Secretary becomes automatically the next year's President.

SC-SUG is a volunteer organization and members of the Board serve at their discretion and good will. However, all members of the Board are expected to maintain a reasonable level of involvement in Board activities. The Board may elect to dismiss a member for reasons including, but not limited to:

  1. Unsatisfactory performance of accepted duties.

  2. Excessive absenteeism / repeated tardiness.

  3. Breaching the confidence of the Board deliberations.

  4. Misappropriation or mismanagement of SC-SUG funds.

  5. Violation of local, state, or federal law.

  6. Other willful misconduct.

A 100% majority vote of the entire membership of the Board, excluding the affected member, will be required to dismiss a member.

The rules and responsibilities of the Board are:

 

President

  1. Directs the Board.

  2. Schedules Board meetings.

  3. Prepares meeting agendas.

  4. Facilitates meetings.

  5. Acts as the primary contact for all SC-SUG issues.

 

Secretary

  1. Assists the President as requested by the President.

  2. Temporarily acts as President when immediate action is required on some matter by the President, and the President is unavailable.

  3. Takes minutes on all meetings.

  4. Distributes all minutes in a timely manner following meetings.

  5. Maintains the official files of the board, including bylaws. Keep a historical record of bylaw changes and approval dates.

 

Treasurer

  1. Controls and manages SC-SUG finances.

  2. Keeps records on all income and expenses and provides records to the Treasury Committee for their independent oversight of SC-SUG finances.

  3. Prepares all documents for IRS.

BOARD AGENDA

Any member of the Board who has an agenda item should call upon the President to add that item to the agenda with a reasonable expectation that it will be addressed at the next meeting. However, the President does exercise discretion over the agenda and may choose to exclude or postpone an item. If this happens, the member who requested the agenda item may request a poll of the Board. The President’s decision can be overridden by a majority vote and the item addressed at the next meeting.

 

MEMBERCHIP FEE

In order to cover the meeting expenses a small membership fee will be collected as follows:

Full-Time Students - $5

Others - $10

The membership fee will be collected at the time of joining the SC-SUG, from the new members and at the beginning of every fiscal year for the current members. The payments should be submitted via mail or online. The new members should fill in the Membership Form, available online.

AMENDMENTS TO BYLAWS

The SC-SUG bylaws may be amended by a two-thirds majority vote of the entire voting membership of the SC-SUG.

Proposed changes and additions should be submitted to the Secretary, who will formalize them for discussion at the next meeting. Upon approval, the Secretary will incorporate the approved modifications into the Bylaws.
